Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and PT Rasa Aksata Nusantara (“Company”, “we”, “us”, or “our”), the operator of Markin by Duluin located at https://duluin.com.

By creating an account, accessing, or using Markin by Duluin, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use Markin by Duluin.

2. Description of Service

Markin by Duluin is a digital signature and document management platform that enables users to:

• Create, send, and receive electronic signatures on documents;
• Apply digital certificates and e-materai (electronic stamps) to documents;
• Manage contacts and signature workflows within an organization;
• Store and retrieve signed documents securely;
• Generate audit trails and verification reports for signed documents.

The Service is provided as a Software-as-a-Service (SaaS) platform accessible via web browser. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. User Accounts and Registration

To use Markin by Duluin, you must register an account through our identity platform (Duluin Launchpad). You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain the confidentiality of your account credentials;
• Promptly notify us of any unauthorized use of your account;
• Be responsible for all activities that occur under your account;
• Not share your account with any third party.

You must be at least 18 years of age to create an account and use the Service. By registering, you represent that you meet this requirement.

For enterprise accounts, the organization administrator is responsible for managing user access and ensuring that all users within the organization comply with these Terms.

4. Permitted and Prohibited Use

4.1 Permitted Use

You may use Markin by Duluin solely for lawful purposes, including:

• Signing legally valid agreements, contracts, and documents;
• Internal business document workflows;
• Inviting counterparties to sign documents;
• Archiving signed documents for compliance purposes.

4.2 Prohibited Use

You agree not to use the Service to:

• Forge, falsify, or impersonate another person's identity or signature;
• Upload documents containing illegal, defamatory, or fraudulent content;
• Circumvent or tamper with any security or authentication mechanism;
• Engage in any activity that violates applicable laws and regulations, including but not limited to Indonesian Law No. 11 of 2008 on Electronic Information and Transactions (UU ITE) as amended by Law No. 19 of 2016;
• Transmit malware, viruses, or other harmful code;
• Use automated tools (bots, scrapers) to access the Service without our express written consent;
• Reverse engineer, decompile, or attempt to derive source code from the platform;
• Resell, sublicense, or commercially exploit the Service without authorization.

We reserve the right to suspend or terminate accounts found to be in violation of this section without prior notice.

5. Electronic Signatures and Legal Validity

Electronic signatures created through Markin by Duluin are designed to comply with applicable Indonesian electronic signature regulations, including:

• UU ITE No. 11 of 2008 (as amended) — Electronic Information and Transactions;
• PP No. 71 of 2019 — Implementation of Electronic Systems and Transactions;
• Permenkominfo No. 11 of 2018 — Electronic Certification;
• Regulations issued by BSSN (National Cyber and Crypto Agency) regarding certified electronic signatures.

Certified Electronic Signatures (Tanda Tangan Elektronik Tersertifikasi) are backed by digital certificates issued by a licensed Certification Authority (CA) and carry full legal evidentiary weight under Indonesian law.

Uncertified Electronic Signatures may have limited legal recognition. It is your responsibility to determine the appropriate signature type required for your specific use case.

We do not provide legal advice. You are responsible for ensuring that the documents you sign and the signature type you use meet the legal requirements of your jurisdiction and the specific transaction.

6. Digital Certificates

Digital certificates available through Markin by Duluin are issued by accredited Certification Authorities (CA) recognized by the Indonesian government (BSrE — Balai Sertifikasi Elektronik or approved third-party CAs).

By applying for a digital certificate, you agree to:

• Provide accurate and truthful identity information for verification purposes;
• Accept the Certificate Policy (CP) and Certification Practice Statement (CPS) of the issuing CA;
• Use the certificate only for authorized purposes;
• Promptly request revocation if your private key is compromised.

Digital certificates have a limited validity period. You are responsible for renewing certificates before expiry to maintain uninterrupted service.

7. Document Storage and Security

Markin by Duluin stores your documents on secure cloud infrastructure. We implement industry-standard security measures including:

• AES-256 encryption for documents at rest;
• TLS 1.2+ encryption for data in transit;
• Access controls and audit logging;
• Regular security assessments and penetration testing.

Document Retention: Signed documents and their audit trails are retained for a minimum of 10 years from the date of signing, or as required by applicable law, unless you explicitly request deletion and deletion is permitted by law.

While we implement robust security measures, no system is completely immune to security incidents. We will notify affected users in the event of a data breach as required by applicable law, including Indonesian Law No. 27 of 2022 on Personal Data Protection (UU PDP).

You retain ownership of all documents you upload. We do not claim any proprietary rights over your documents.

8. Intellectual Property Rights

All rights, title, and interest in and to Markin by Duluin, including its software, design, trademarks, logos, and content created by us, are and remain the exclusive property ofPT Rasa Aksata Nusantara and its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely in accordance with these Terms.

You retain full ownership of all documents, data, and content you upload to the platform. By using the Service, you grant us a limited license to process, store, and display your content solely as necessary to provide the Service to you.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

9. Privacy

Your use of Markin by Duluin is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

By using the Service, you consent to the collection and processing of your personal data as described in our Privacy Policy, in accordance with Indonesian Law No. 27 of 2022 on Personal Data Protection (UU PDP).

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PT RASA AKSATA NUSANTARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE FULL EXTENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless PT Rasa Aksata Nusantara, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms;
• Your violation of any applicable law or regulation;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any documents or content you upload, sign, or transmit through the Service.

12. Termination

By You: You may terminate your account at any time by contacting us at [email protected] or through the account settings. Termination does not entitle you to a refund of any fees paid.

By Us: We may suspend or terminate your access to the Service immediately and without notice if:

• You breach any provision of these Terms;
• We are required to do so by law or regulatory authority;
• We discontinue the Service;
• We reasonably believe that your use poses a risk to other users or the integrity of the platform.

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 (thirty) days, it shall be submitted to the competent court in Jakarta, Indonesia.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from any court of competent jurisdiction to prevent irreparable harm.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to the address associated with your account; and/or
• Displaying a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
